FabuBlox, Inc. Public AI Addendum

This Public AI Addendum forms part of the FabuBlox Terms of Service (“Terms”) and applies to your use of artificial intelligence features of the Services. “You” includes the organization on whose behalf you use the Services, where applicable. You represent that you have authority to act for that organization. A separately executed agreement with FabuBlox, including any applicable data processing agreement, controls to the extent of a conflict. Otherwise, this Addendum controls over the Terms solely concerning AI Features.

“AI Features” include generative AI, machine learning, embeddings, retrieval, classification, recommendations and agents that use tools or perform actions. “Input” means prompts, instructions, files and other information submitted or made available to AI Features, including through an authorized connection. “Output” means content or results generated in response. “Your Content” means your Inputs, Outputs and other content submitted to or maintained in your account. “Service Data” means usage, performance, diagnostic, security and operational metadata, excluding Your Content; Service Data may contain personal information handled under the Privacy Policy.

As between you and FabuBlox, you retain your rights in Your Content. To the extent FabuBlox owns rights in Output generated for you, FabuBlox assigns those rights to you, excluding FabuBlox’s underlying technology and third-party materials. This does not guarantee that Output is copyrightable, unique, exclusive or free of third-party rights. Similar Output may be generated for others. FabuBlox retains its rights in the Services, software, models, algorithms, system prompts and improvements.

You must have the rights and permissions necessary to provide Inputs and authorize their processing, including information obtained from connected services. You grant FabuBlox a nonexclusive license to process Your Content, and to permit its service providers to do so on its behalf, solely for the purposes described in Section 4 and the Privacy Policy. This license lasts only as needed for those purposes and applicable retention periods; it does not transfer ownership or permit independent exploitation of Your Content.

When you enable an agent or connection, you authorize the AI Features to access and process the information you make available and perform actions within your instructions, selected permissions and configured approval settings. Depending on the feature and permissions, actions may include creating or modifying content, running tools, and exchanging information with connected services. Actions you authorize to run automatically may occur without a separate approval for each step. General acceptance of this Addendum does not authorize actions beyond that scope.

You are responsible for choosing appropriate permissions, having authority over connected accounts, and reviewing instructions, proposed actions and results as appropriate. Agent actions can have unintended consequences and may not be reversible. You may revoke a connection or disable an agent through the available controls or by contacting support; doing so will not undo completed actions. Independently operated services you choose to connect are subject to their own terms and privacy practices. FabuBlox remains responsible for its own obligations under the applicable agreement and law.

Do not rely on AI Features as autonomous control systems for fabrication equipment or other safety-critical operations. Independently validate process recipes, compatibility, estimates and other technical results before implementing them or committing resources.

FabuBlox may process Your Content to provide and execute requested AI functionality; maintain, secure and support the Services; investigate errors and abuse; and test and evaluate service performance and improve the Services. Access by personnel and service providers must be limited to these purposes and subject to appropriate confidentiality and security safeguards. These permissions are subject to the following restrictions and the Privacy Policy:

FabuBlox will not use Your Content to train or fine-tune generalized AI models, or authorize its AI service providers to do so. FabuBlox will not intentionally use Your Content, or confidential insights derived from it, to populate AI responses or suggestions for other customers or unaffiliated third parties, including through shared retrieval indexes, prompts or other shared content stores. This does not prevent processing by service providers on FabuBlox’s behalf or sharing you expressly direct, including through your selected collaboration or publication settings. It does not permit cross-customer reuse merely because content has been stripped of names.

Subject to those restrictions, FabuBlox may use Service Data and aggregated de-identified statistics to operate, secure, evaluate and improve the Services. Aggregated de-identified statistics must not reasonably identify or reveal a person, organization, proprietary recipe, process know-how or other confidential content. FabuBlox will not attempt to re-identify them and will require recipients to observe the same restrictions. These permissions do not authorize training on Your Content or confidential insights derived from it.

You grant FabuBlox a perpetual, worldwide, royalty-free right to use suggestions and feedback to improve its products, excluding Your Content and confidential information included with that feedback. Feedback does not override the restrictions above.

AI Features may use third-party model and cloud providers. FabuBlox may replace providers, subject to its privacy and data-use commitments and any applicable negotiated agreement. FabuBlox will require appropriate contractual confidentiality and data-protection obligations from providers receiving personal information. No provider change expands the uses of Your Content permitted here.

FabuBlox may impose or change reasonable usage limits, throttle requests, restrict abuse, and modify, suspend or discontinue free or beta AI Features. Free access does not include a service-level commitment, guaranteed continued availability or a right to future features. Paid commitments remain governed by the applicable plan or agreement. FabuBlox will not impose new paid charges without your agreement and will provide reasonable advance notice of material discontinuation where practicable, except where immediate action is needed for security, abuse prevention or legal compliance.

AI Features may produce inaccurate, incomplete, misleading, biased or inappropriate results and may misunderstand instructions or perform actions incorrectly. You must independently assess Outputs and actions before relying on them for technical, business or other consequential decisions. Outputs are not professional advice, a guarantee of manufacturability, or a substitute for qualified engineering review. They may be subject to third-party intellectual property rights.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI FEATURES AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ACCURACY, RELIABILITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. THE TERMS’ LIABILITY LIMITATIONS APPLY. NOTHING IN THIS ADDENDUM CREATES AN INDEMNIFICATION OBLIGATION FOR FABUBLOX OR LIMITS RIGHTS OR LIABILITIES THAT CANNOT LAWFULLY BE LIMITED.

You may not use AI Features to violate applicable law or third-party rights; facilitate fraud, malware, unlawful discrimination or unlawful surveillance; circumvent security, permissions or usage limits; or develop or train competing AI models using the AI Features or their Outputs. This restriction does not prohibit ordinary evaluation of the Services for your own use or otherwise lawful academic research that does not develop or train a competing AI model.

You must comply with applicable export-control and sanctions laws, including the U.S. Export Administration Regulations and International Traffic in Arms Regulations. You may not provide access, transfer controlled technology, or use the AI Features for a prohibited recipient, destination or end use, or without required authorizations. Do not submit classified information, controlled unclassified information, or export-controlled technical data requiring special handling or access restrictions unless FabuBlox has expressly agreed in writing to support those requirements and the required safeguards and authorizations are in place. Lawful military-related or government-funded research is not prohibited solely because of its funding or affiliation, subject to these restrictions and applicable provider restrictions disclosed before use.
